Terms of Service
DRAFT — not published, not legal advice, and subject to Founder approval and legal review.
Operator: individual sole proprietor. Legal name, notice address, and effective date: pending Founder supply. Privacy, support, and deletion requests: hello@cadorin.app.
1. The beta service
Cadorin is a limited, admitted beta composition environment for developing and returning to guitar and songwriting ideas. The current beta is free and intended for people who are at least 18 years old and located in the United States. Cadorin may change, pause, or end beta access while it is tested.
2. Accounts and authorized access
You must provide accurate information, use only an account you are authorized to use, protect your authentication methods, and not cross account or ownership boundaries. Cadorin may rely on Clerk and its server-side admission and entitlement records to decide whether an account may enter.
3. Acceptable use
You may not:
- violate law or another person's rights;
- submit material you do not have permission to process;
- upload malware, credentials, or harmful code;
- probe, scrape, overload, or circumvent the Service;
- interfere with persistence, webhooks, providers, or access controls; or
- use generated material to facilitate unlawful or harmful conduct.
4. Your musical material
As between you and Cadorin, you retain ownership of your original compositions and other submitted material, subject to rights you already owe to others. You grant Cadorin the limited operational license described in the Privacy Policy. Cadorin does not acquire ownership of your original compositions through that license.
You are responsible for having the rights needed to submit material and for deciding what to keep, share, publish, perform, or otherwise use.
5. AI-assisted suggestions
Cadorin may provide AI-assisted suggestions, arrangements, transformations, or other possibilities. Outputs may be inaccurate, similar to other outputs, unavailable, or unsuitable. Cadorin does not promise that an output is unique, exclusive, original, protectable, non-infringing, or human-authored, and does not provide copyright or legal advice.
6. Payments
The current beta is free and Stripe payment flows are inactive. The codebase contains optional Stripe integration, but these Terms make no paid offer or payment commitment. Any future pricing, taxes, refunds, renewals, cancellation, chargebacks, or payment terms would require separate approval and transaction-specific disclosure.
7. Availability and recovery
The beta may experience interruptions, provider limits, model changes, latency, inaccurate suggestions, authentication failures, or loss of access. Cadorin maintains persistence and application-data recovery controls but does not promise a particular uptime, recovery point, recovery time, or successful recovery. Keep independent copies of work that is important to you.
8. Suspension and termination
Cadorin may suspend or terminate access for security risk, abuse, fraud, unlawful conduct, rights violations, misuse, or violation of the final Terms, subject to applicable law. Deletion requests remain subject to the Privacy Policy's verification, legal, security, provider, audit, and recovery-package limitations.
9. Proposed legal provisions for counsel review
The following provisions are proposed for counsel review and are not approved commitments:
Governing law and venue. The parties would intend these Terms to be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Any permitted court proceeding would be brought in an appropriate state or federal court located in Massachusetts, subject to applicable consumer-law protections and counsel's review of the operator's actual location.
Disclaimer. To the fullest extent permitted by law, the Service would be provided on an “as is” and “as available” basis, without warranties that it will be uninterrupted, secure, accurate, error-free, or fit for a particular purpose. This does not limit rights that cannot lawfully be disclaimed.
Liability and indemnification. Counsel should supply the lawful liability cap, exclusions, treatment of lost work and consequential damages, and any narrowly tailored indemnification provision, including required consumer-law protections.
Disputes. Counsel should determine whether court proceedings, informal resolution, arbitration, or another process is appropriate. No arbitration or class-action waiver is proposed as an approved commitment here.
10. Eligibility and export restrictions
The beta is intended for people who are at least 18 years old and located in the United States. You may not use the Service where doing so would violate applicable export, sanctions, or other law. Cadorin does not represent that it technically blocks every ineligible access attempt.
11. Changes and contact
The published Terms will identify the sole proprietor by legal name, provide a contact address, state the effective date, and describe the process for material changes. Privacy, support, and deletion requests may be sent to hello@cadorin.app. The legal name, notice address, and effective date remain pending.
